Parties, product and applicable documents

These Terms govern business purchases of RiskCompass services from Poind Intelligence ApS, CVR 45676730, VAT DK45676730, Gardes Allé 24, 2900 Hellerup, Denmark (the Supplier, we or us). The Customer is the legal entity identified in the accepted order. The services are for business and professional use, not consumer purchases.

These are the standalone Terms for RiskCompass. They do not incorporate the terms of the separate Poind product. RiskCompass is a product operated by the Supplier, not a separate legal entity. An Order is an agreed quotation, order form, online order or email exchange identifying the Customer, services, fees, billing arrangements, users or usage limits, start date and service period. The Agreement consists of that Order and the version of these Terms incorporated when the Order is accepted. Specifically agreed Order provisions prevail over conflicting Terms; a data-processing agreement prevails for its subject matter. Customer purchase-order or procurement terms apply only if we expressly accept them in writing.

Orders and acceptance

An agreement is formed when an authorised representative of the Customer accepts an offer identifying the services, price and applicable delivery date or service period, and we accept the order. Acceptance may be recorded through an online purchase confirmation, email, a signed order form or another documented expression of agreement. The offer and these Terms must be made available to the Customer before acceptance.

Payment may also constitute acceptance where the offer expressly provides for acceptance by payment and the Customer has received the commercial terms and these Terms beforehand.

We confirm the agreed purchase in an order confirmation or other written record. Invoices are issued for purchases agreed through this process and are payable in accordance with the agreed payment terms.

Requests for information, quotations, demonstrations or access, and account registration or use of a free preview, remain non-binding until a paid order is agreed.

Authority, company responsibility and records

A person placing or accepting an Order on behalf of a company represents that they are authorised to bind that company to the specified services, fees and delivery date or service period. A validly authorised order binds the Customer. Subsequent internal approval requirements, staff changes or non-use of the purchased services do not, by themselves, cancel the order or release the Customer from the agreed payment obligations. Any expressly agreed purchase conditions and applicable termination rights remain unaffected. A company email address alone is not proof of authority, and these Terms do not create a personal guarantee by an employee.

The Customer is responsible for its authorised users, account administration and keeping its commercial and billing contacts current. Administrative access alone does not authorise an individual to order additional paid services. We may request confirmation of purchasing authority before accepting an Order or change.

Order confirmations, accepted quotations, emails and electronic acceptance records may evidence the Agreement. We provide an order confirmation or agreed order document identifying the commercial terms and applicable Terms. The Customer should retain it and notify us promptly of discrepancies; failure to object does not by itself prove an order was placed.

Service scope and delivery

RiskCompass provides the renewable-energy project data, connected intelligence, analytical tools and monitoring services specified in the Order. Technology and geographic coverage, model availability, history, refresh cadence, export rights and separately licensed data depend on the purchased scope. The public Atlas infrastructure snapshot is distinct from any separately agreed enriched project intelligence or monitoring service.

Only the features, datasets, deliverables, integrations, support and usage rights included in the Order are purchased. Public illustrations, development plans and discussions of possible features are not commitments to deliver unagreed functionality. We will perform the agreed services with reasonable skill and care. Delivery dates, refresh commitments and service levels apply where expressly agreed.

We may maintain, secure and improve the service and replace third-party components. We will not materially reduce the agreed core service during a paid committed period without an agreed alternative or the remedy described under termination. No uninterrupted-availability or particular-business-outcome guarantee is given unless expressly agreed.

Term, renewal and cancellation

The Order specifies the start date and committed service period. Unless the Order expressly provides a cancellation right, an accepted fixed-term purchase cannot be cancelled for convenience during that period. Non-use, staff departures, reduced requirements or stopping access do not release the Customer from agreed fees. Instalment billing does not shorten the committed period.

Automatic renewal applies only where the Order expressly states the renewal mechanism, renewal period, pricing basis and cancellation deadline before acceptance. Otherwise, renewal requires a further agreement. A notice not to renew takes effect at the end of the current committed period and does not cancel amounts already due. Any mandatory rights and remedies for our material breach remain unaffected.

Fees, invoices and payment

Fees, currency, taxes and billing frequency are those agreed in the Order. Unless expressly stated otherwise, prices exclude applicable VAT and similar taxes. Unless a different payment period is agreed, invoices are payable within 14 days of the invoice date. Access may begin before payment where agreed; this does not waive the payment obligation. We do not increase agreed fees for a current committed period without agreement.

The Customer must supply the correct legal entity, billing address and any purchase-order requirements before the Order is accepted. A subsequently requested internal PO number or internal approval delay does not postpone payment of a validly authorised Order, unless we agreed it as a condition of purchase or payment.

Raise invoice disputes promptly with the invoice reference, reasons and supporting information. We will investigate; undisputed amounts remain payable. No arbitrary short objection period extinguishes a legitimate dispute. Late-payment interest and recovery costs may be charged only as permitted by applicable law, including the Danish Interest Act. Non-payment may lead to suspension as set out below.

Users, additional services and usage

For standard annual access, the ordered seat count, price and common service-period end date are confirmed in the Order. Additional seats require approval of the number, start date and charge by an authorised purchasing contact. Where agreed under the standard annual plan, they are prorated for the remaining term and renew with the existing seats. An invitation alone is not a purchase. Removing a user does not create a refund for an already committed seat; a named seat may be reassigned within the same Customer, but not shared concurrently. Configured agents, bespoke integrations and separately licensed data are included only where expressly ordered.

Paid extensions, additional data licences, bespoke work, integrations and configured automation require agreement on scope and charges before they are supplied. Inviting a colleague, changing an administrator or making an enquiry does not alone authorise an extra charge. Credentials must not be shared, and the Customer must promptly report suspected unauthorised access.

Licence, permitted use and ownership

For the agreed period, subject to compliance with the Agreement and timely payment, we grant the Customer a non-exclusive, non-transferable right for its authorised users to use the purchased services for its internal business purposes. Access for affiliates or external parties, API use, exports and redistribution must be within the agreed scope. Limited extracts may be shared confidentially with the Customer's professional advisers for its own business decisions, provided applicable data licences permit this; this does not permit sharing accounts or reproducing a substantial dataset.

The Supplier and its licensors retain their respective intellectual-property rights in the software, models, methodologies and protected content. Purchasing access or a report does not transfer ownership of the underlying service. Customer data remains the Customer's, and public-domain, open-source and third-party materials remain subject to their own rights and licences.

Except where expressly permitted by the Agreement or mandatory law, the Customer must not resell or sublicense the services, redistribute datasets, bypass access controls, conduct unauthorised bulk extraction, reverse engineer protected software, or use the services to build a competing dataset or service. Applicable open-data and open-source rights are not restricted by this clause.

Data, models, AI and decision responsibility

A project record is not proof of live generation, complete ownership, verified contractual terms or bankable project economics. Recorded, derived and candidate relationships have different evidential status. Resource models, scenarios, financial projections and robustness scores depend on inputs and assumptions; they are not credit ratings, warranties of performance or predictions of investment outcomes.

Source coverage, update frequency and confidence vary. Estimates, derived relationships and AI-generated explanations are not verified facts merely because they appear in the service. Monitoring is limited to the agreed sources and configuration; no alert does not mean no risk. The Customer must review material outputs, assumptions and sources before relying on them.

The services support, but do not replace, the Customer's professional judgement and independent verification. They are not a guarantee of legal or regulatory compliance, investment performance, creditworthiness or any other outcome. No legal, tax, investment or regulated advisory engagement is created unless separately and expressly agreed. These limitations do not remove our obligation to supply the agreed service with reasonable skill and care.

Connecting customer systems or authorising automated external actions requires separately agreed permissions and safeguards. Ordering access alone does not authorise an agent to send communications, transact or modify customer systems.

Customer data, privacy and confidentiality

The Customer must have the rights and lawful basis needed to provide its data and instructions. It grants us the limited rights necessary to process that data to deliver, secure and support the agreed services. This does not transfer ownership or grant a general right to sell or publish customer data.

Each party must protect the other's non-public business, technical and commercial information with reasonable care, use it only for the Agreement, and disclose it only to personnel, contractors or advisers who need it and are subject to appropriate confidentiality obligations. This does not cover information lawfully public, independently developed or lawfully obtained without restriction. Legally required disclosure is permitted, with prior notice where lawful. These obligations continue for three years after termination, and for trade secrets while they remain trade secrets.

The RiskCompass privacy notice describes relevant personal-data processing. Where we act as the Customer's processor, the parties must put an appropriate data-processing agreement in place before that processing begins. This page is not a substitute for a required data-processing agreement. Do not submit sensitive personal information or confidential third-party datasets without agreeing the necessary arrangements.

Suspension and termination

We may suspend affected services for overdue, undisputed payment after written notice and a reasonable opportunity to remedy, normally at least 14 days. We may suspend immediately to address a material security threat, unlawful use or serious abuse, with notice as soon as reasonably practicable. Suspension will be proportionate to the issue and lifted when it is resolved. Suspension attributable to the Customer does not cancel fees for an otherwise valid committed period.

Either party may terminate an affected Order for the other's material breach if it remains unremedied 14 days after written notice describing the breach. A breach incapable of remedy may justify immediate termination. Accrued payment obligations and other lawful remedies remain enforceable.

If the Customer validly terminates for our uncured material breach, or we discontinue the agreed core service without an agreed equivalent, we will refund prepaid fees for the unused affected period and release corresponding future fees. This does not limit other remedies available under the Agreement and applicable law. Otherwise, fees for the committed period are not refundable merely because the Customer chooses not to use the service.

On expiry or termination

Access and use rights end when the applicable Order ends, except for rights expressly stated to survive. Request any available export of Customer-provided data before expiry; scope, format and any bespoke assistance follow the Order and applicable data-processing agreement. There is no right to export third-party licensed datasets beyond the agreed licence.

The Customer must stop using the service and remove copies not authorised for retention. It may retain lawfully obtained reports and limited extracts where necessary for existing decision records, audit or legal obligations, subject to confidentiality and third-party licence restrictions, but not as a replacement ongoing database service. We retain or delete customer data in accordance with the applicable data-processing agreement and lawful retention obligations. Payment, ownership, confidentiality, liability and dispute provisions survive to the extent needed to give them effect.

Liability and allocation of risk

To the extent permitted by law, our total aggregate liability arising from an Order, whether in contract, tort or otherwise, is limited to the fees paid or payable for the affected services during the 12 months immediately preceding the event giving rise to the claim. For a shorter service period, the cap is the fees paid or payable for that shorter period.

To the extent permitted by law, we are not liable for indirect or consequential loss, lost profits, lost revenue, lost business opportunities, anticipated savings or loss arising from business or investment decisions taken in reliance on outputs. The Customer is responsible for appropriate independent backups of data it supplies.

No exclusion or limitation in the Agreement applies to fraud, wilful misconduct, gross negligence, or liability that cannot lawfully be excluded or limited. The Customer's obligation to pay validly agreed fees is not reduced by our liability cap. Each party must take reasonable steps to mitigate its losses.

Events beyond reasonable control

Neither party is liable for failure caused by an event beyond its reasonable control that could not reasonably have been prevented or overcome. The affected party must notify the other and take reasonable mitigation steps. This does not excuse payment for services already provided or ordinary lack of funds. If such an event prevents the core service for more than 30 consecutive days, either party may end the affected Order by notice; unused prepaid fees for services that will not be supplied will be refunded.

Changes, notices and general provisions

Changes to an accepted Order require agreement by authorised representatives, including by email or a clearly documented online acceptance. Publishing revised Terms does not itself change existing Orders. New Terms apply to new Orders or renewals only where validly incorporated; they do not create retrospective payment obligations.

Commercial notices may be sent to the contacts recorded in the Order. The Customer must maintain a working billing and administrative email address. Neither party may assign the Agreement without the other's written consent, not to be unreasonably withheld. We may use subcontractors while remaining responsible for our contractual obligations and applicable data-processing commitments.

A failure to enforce a provision is not a waiver. If a provision is unenforceable, the remaining provisions continue to apply to the extent lawful. These Terms and the accepted Order constitute the agreement for their subject matter, without excluding liability for fraud or overriding expressly agreed commitments.

Governing law and contact

The Agreement is governed by Danish law. Subject to mandatory jurisdiction rules, disputes are submitted to the competent Danish courts, with Copenhagen as the agreed venue. The parties should first seek a practical resolution through their commercial contacts.
